Remark                                   : According to the Shareholding and 
Management Restructuring Plan of Sino-Thai Engineering and Construction Public
Company Limited ("STEC"), STEC has completed the incorporation of Stecon Group
Public Company Limited (the "Offeror" or "The Company"), which will issue and
offer for sale of the newly issued securities of the Company together with
making a tender offer for the existing securities of STEC in exchange for the
same type of securities of the Company, at the swap ratio of 1:1, which in this
case means 1 newly issued ordinary share of the Company per 1 ordinary share of
STEC.

After the completion of the tender offer and the Company meet the criteria for 
listing of ordinary shares as listed securities, the ordinary shares of the
Company will become listed securities on the Stock Exchange of Thailand (the
"SET") in place of the ordinary shares of STEC which will be delisted from the
SET on the same day.

Payment Date
Within 7 business days from the last day of the tender offer period (scripless) 
and within 15 business days from the last day of the tender offer period
(script), whereby, the Offeree can choose the method of payment as detailed in
the registration statement for securities offering together with tender offer
for the securities (Form 69/247-1).
